This Intellectual Property and DMCA Policy (this “Policy”) of Core Velocity, Inc. and its affiliates (“Core Velocity”, ”we”, “our”, or “us”) sets forth additional requirements, guidelines, rights and licenses with regard to our intellectual property and the intellectual property of others. This Policy applies to our licensees, developers, Members, customers and other parties that wish to use our intellectual property. We respect the intellectual property rights of others and ask that you do the same and that you adhere to this Policy and the Terms of Service. Any capitalized terms used in this Policy, but not defined here, have the meanings assigned to such terms in the Terms of Service.

 

The Core Velocity name, logos, service marks, trademarks, designs, trade names, and trade dress (collectively, "Trademarks") are our exclusive property, whether registered or unregistered, and may not be used in connection with any product or service that is not ours, or in any manner that will cause confusion as to our endorsement or affiliation of any product, person, brand or service. Nothing contained on the Core Velocity Platform, the Products, in content created by us or for us or in this Policy should be perceived as the grant of any license or right to use the Trademarks or any other intellectual property without our express prior written consent.

 

We own the Core Velocity Platform, the Content, Trademarks, (copyrights, patents, and any other audio-visual or static content, audio, material, photographs, illustrations, graphics, code, software, data, features, images, and information displayed on or otherwise made available through the Core Velocity Platform or the Products, other than content that has been licensed to us by third parties (collectively, "Core Velocity IP"), which includes all intellectual property and proprietary rights. The Core Velocity Platform is only for your personal, non-commercial use unless you are explicitly granted authorization by Core Velocity in writing (as defined below in the “Authorized Use of Core Velocity Intellectual Property” section).

 

Any other trademarks appearing on the Core Velocity Platform or Products are trademarks of their respective owners. Our partners or service providers may have additional proprietary rights in the content that they make available through the Core Velocity Platform. All rights not expressly granted in this Policy or the Terms of Service are reserved.

 

Authorized Use of Core Velocity Intellectual Property

Only Core Velocity and its authorized licensees may use the Core Velocity IP, Content and Trademarks in any advertising, promotional, or marketing materials of any kind, or for any other commercial purpose without our prior express written consent. Any such approval by us is a “Permitted Use”.

 

Except as authorized as a Permitted Use, you may not reproduce, use, copy, modify, download, license, sell, transfer, delete, reproduce, or create derivative works of any Core Velocity IP. In all situations, including when a Permitted Use is authorized by us, Core Velocity retains all ownership of the Core Velocity IP, and nothing in this policy grants a license, transfers any ownership, or conveys any other rights in the Core Velocity IP, to any other party.

 

Any Permitted Use must at all times be made in accordance with a written agreement between us and licensee and must adhere to the following requirements, unless otherwise agreed in writing:

• The Core Velocity IP, Content and/or Trademarks are not modified or combined with other marks in any way, including, but not limited to, changing the color, ratio, audio, audio-visual, font, or materials captured or contained therein.

• Includes any and all attributions as required by us.

• The "Core Velocity" word mark appears less prominently than the name of your service or product.

• The Permitted Use presents Core Velocity, the Core Velocity IP, the Content, and our brand, products, and services in a favorable light.

• Any reference to us, the Content and/or our products and services must not appear to endorse or show affiliation between us, the Content, and/or our products and services and you or your products and services.

• The Trademarks or the Core Velocity name (including any abbreviations or variations of the Core Velocity name) are not part of licensee’s product or service name or domain names or websites.

 

Copyright Infringement

Per the Digital Millennium Copyright Act (the “DMCA”), Core Velocity will respond expeditiously to claims of copyright infringement on the Core Velocity Platform if submitted to Core Velocity’s Copyright Agent as described below. Upon receipt of a notice alleging copyright infringement, Core Velocity will take action it deems appropriate within its sole discretion, including termination of access for repeat infringers of copyright-protected content and the removal of the allegedly infringing materials.

If you believe that your intellectual property rights have been violated by Core Velocity or by a third party who has uploaded materials to our website, please provide the following information to the designated Copyright Agent listed below:

 

1. A description of the copyrighted work or other intellectual property that you claim has been infringed;

2. A description of where the material that you claim is infringing is located on the Core Velocity Platform;

3. An address, telephone number, and email address where we can contact you and, if different, an email address where the alleged infringing party, if not Core Velocity, can contact you;

4. A statement that you have a good-faith belief that the use is not authorized by the copyright owner or other intellectual property rights owner, by its agent, or by law;

5. A statement by you under penalty of perjury that the information in your notice is accurate and that you are the copyright or intellectual property owner or are authorized to act on the owner's behalf; and

6. Your electronic or physical signature.

Core Velocity may request additional information before removing any allegedly infringing material. In the event Core Velocity removes the allegedly infringing materials, Core Velocity will immediately notify the person responsible for posting such materials that Core Velocity removed or disabled access to the materials. Core Velocity may also provide the responsible person with your email address so that the person may respond to your allegations.
